King Richard’s Liturgical Design – Terms and Conditions of Sale
 
All proposals and invoices issued by King Richard’s Liturgical Design are subject to the following Terms and Conditions. By approving a proposal, paying an invoice, or remitting any deposit to King Richard’s, the Purchaser acknowledges and agrees to these Terms in full. These Terms supersede any and all prior or verbal agreements, understandings, or representations not expressly included in writing by KR.
 
1. Quotations and Acceptance
Quotes provided by KR are valid for 30 calendar days unless otherwise stated. King Richard’s reserves the right to adjust pricing after this period or due to changes in scope, material availability, or other factors outside KR’s control.
Acceptance of a quote constitutes agreement to these Terms and Conditions in their entirety.
 
2. Payment Terms
Standard payment terms are outlined in each project estimate or invoice. In general:
  • A deposit is required to initiate production or reserve materials.
  • Progress payments may be required for large-scale or phased projects.
  • Final balance is due upon shipment, delivery, or installation unless otherwise specified.
Late payments may incur interest charges and/or result in a suspension of work until payment is received.
 
3. Foreign Exchange Rate Adjustment
For all orders exceeding USD $10,000.00, if the applicable foreign currency exchange rate fluctuates by more than five percent (5%) between the date of quotation and the date of payment, the Purchaser acknowledges and agrees that the total purchase price will be adjusted accordingly.
 
4. Tariffs, Duties, and Government-Imposed Fees
In the event that any tariffs, duties, import fees, or other government-imposed charges are enacted or increased after King Richard’s has received the Purchaser’s deposit, the Purchaser shall be solely responsible for all such additional costs. King Richard’s shall have no obligation to absorb or offset any such fees.
 
5. Delays by Purchaser or Third Parties — Price Adjustment
If delivery, production, shipment, or project execution is delayed for a period exceeding six (6) months from the date King Richard’s receives the Purchaser’s deposit, and such delay is caused by the Purchaser or by circumstances outside King Richard’s control—including but not limited to committee approval delays, fundraising delays, internal client decision-making delays, parish or organizational disruptions, change in leadership (including priest or bishop), loss of donor funding, construction delays caused by third parties, renovation postponements, or architectural changes—then King Richard’s reserves the right, at its sole discretion, to charge storage and holding fees of up to eighteen percent (18%) of the total purchase price per calendar quarter on all unpaid amounts until payment in full is received by King Richard’s.
 
6. Change Orders and Scope Modifications
Any request by the Purchaser to change or modify the scope, materials, design, or schedule after a deposit has been made must be submitted in writing and may be subject to additional costs and project timeline adjustments. King Richard’s will issue a formal Change Order to be approved prior to proceeding with revised work.
 
7. Custom Work and Variations
Due to the handcrafted and customized nature of King Richard’s work, minor variations in color, finish, grain, size, or dimension may occur. Such differences do not constitute defects or grounds for return. Final artistic execution is at the discretion of King Richard’s artisans and designers and will be consistent with the approved proposal.
 
8. Cancellations and Refunds
All deposits are non-refundable. Cancellation of an order after production has begun may incur additional charges to cover labor, materials, and administrative costs. Completed work, or work in progress, remains the property of King Richard’s until paid in full.
 
9. Shipping, Installation, and Risk of Loss
Shipping and installation arrangements will be specified in the proposal or invoice provided by King Richard’s. All transportation and freight of items outlined in the proposal is the sole responsibility of King Richard’s. All shipments are handled with care and packaged using industry best practices.
 
The Purchaser is responsible for securing access, permits, and appropriate site readiness prior to delivery or installation. Risk of loss transfers to the Purchaser upon delivery or shipment, unless otherwise agreed in writing. The Purchaser should inspect all merchandise immediately upon delivery. Any damage must be reported within 48 hours, accompanied by clear photos of the affected items. King Richard’s is not liable for damages incurred during transit unless proper documentation is submitted in this window. If shipping is coordinated by the client or a third party, King Richard’s assumes no responsibility for transit-related issues.
 
10. Limitation of Liability
In no event shall King Richard’s be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of use, delay, loss of income, or loss of goodwill arising from any project, transaction, or service.
King Richard’s total liability for any claim arising from a project or order shall not exceed the total amount paid by the Purchaser for the specific goods or services at issue.
 
11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law’s provisions.
 
12. Entire Agreement
These Terms, together with the project proposal, invoice, or sales agreement, constitute the entire agreement between the parties and supersede all prior oral or written communications.
